Public Offer Agreement

This Public Offer Agreement ("Offer") is the official offer of the operator of the Slot platform to enter into an electronic agreement for access to the Slot digital platform on the terms below. The Operator is Individual Entrepreneur Rudenko Mykhailo Ihorovych ("Operator", "we", "us"), RNOCPP / Ukrainian tax ID and recipient code 3521802553, address: Ukraine, Pavlohrad, Pryvitna St, 21, contact phone: +380958164741, email: find.slot.ua@gmail.com. The Operator operates under the Slot trade name.

This Offer is governed by the laws of Ukraine, including the Civil Code of Ukraine, the Law of Ukraine "On Electronic Commerce", the Law of Ukraine "On Consumer Rights Protection", the Law of Ukraine "On Payment Services" and the Law of Ukraine "On Personal Data Protection". The Ukrainian version prevails over any translation.

1. Definitions

1.1. Slot or Platform means the web application, mobile web application, PWA, pages, interfaces, calendars, profiles, notifications and other digital features of Slot.

1.2. User means any person who visits or uses the Platform.

1.3. Master means an independent professional or business entity that creates a profile, publishes services, schedules, prices and accepts bookings through Slot.

1.4. Client means a User who searches for a Master, views a Master profile or creates a booking.

1.5. Master Subscription means paid fixed-term access for a Master to Slot features for creating and maintaining a public profile, managing services, calendar, bookings, notifications and related tools.

1.6. Acceptance means full and unconditional acceptance of this Offer by registering, choosing the Master role, ticking the consent checkbox for this Offer, the Terms of Service and the Privacy Policy, clicking a payment button, paying through LiqPay or actually using paid Slot features.

2. Subject

2.1. The Operator provides the Master with access to the Platform and the Master Subscription, and the Master pays the Master Subscription fee according to the plan selected in the Slot interface.

2.2. Slot is a digital platform for search, booking and appointment organization. The Operator is not the employer, agent, representative, co-provider or tax agent of any Master for services that a Master provides to Clients, unless a separate written agreement expressly states otherwise.

2.3. The agreement for the actual household, beauty, consulting, medical, wellness or other service of a Master is concluded directly between the Client and the Master. The Master is solely responsible for the quality, safety, legality, licenses, permits, taxes, fiscal cash register or software cash register obligations, and settlement documents for the Master's services.

2.4. If Slot later shows an online payment or deposit for a specific Client booking, that payment will be governed by the terms, price, cancellation policy and responsible seller/provider shown to the Client before payment confirmation.

3. Electronic Contracting

3.1. This Offer is freely available on the Platform. A User may save or print it before Acceptance.

3.2. The electronic agreement is concluded at the moment of Acceptance. For the Master Subscription, paid access is activated after LiqPay confirms a successful payment and the payment is reflected in Slot's accounting systems.

3.3. By clicking the payment button, the Master confirms that before payment the Master received information about the Operator, the main characteristics of the digital service, the price, access term, payment procedure, complaint procedure, refund terms and termination rules.

3.4. The Master asks the Operator to provide the Master Subscription immediately after successful payment. If applicable law gives the Master as a consumer a right to withdraw from a distance contract, the Master acknowledges that after digital service provision begins, that right may be limited in cases expressly provided by law.

4. Plans and Access Term

4.1. The current base price of the Master Subscription is UAH 200 for one calendar month of access. The Slot interface may offer 1, 2 or 3 month packages:

  • 1 month - UAH 200;
  • 2 months - UAH 350;
  • 3 months - UAH 500.

4.2. The current price, currency, access term and payment description are shown to the Master before redirecting to LiqPay. If the in-app price differs from this Offer because of a tariff update, the price clearly shown to the Master before payment applies.

4.3. If the Master Subscription is already active at the time of payment, the paid term is added to the current subscription expiry date. If the subscription is inactive or expired, the term starts when the payment is successfully activated.

4.4. The Master Subscription does not renew automatically unless Slot expressly shows a recurring payment mechanism and obtains the Master's separate consent.

5. Payment Through LiqPay

5.1. Online payment for the Master Subscription is made through LiqPay, a payment service of JSC CB "PrivatBank". LiqPay accepts payment instruments and executes payment operations under its own rules, the rules of international/national payment systems and Ukrainian law.

5.2. Payment recipient details:

5.3. The Operator is not a bank, payment institution or payment service provider. The Operator receives from LiqPay only the information needed to confirm payment, activate the subscription, keep accounting records, support users, prevent fraud and resolve disputes.

5.4. Slot does not store full card numbers, CVV/CVC, PIN codes or other full payment instrument credentials. Such data is entered in the secure payment form of LiqPay or the issuing bank.

5.5. A payment may be declined, suspended, refunded or additionally verified by LiqPay, the issuing bank, a payment system or another authorized payment participant for security, financial monitoring, insufficient funds, technical failure, chargeback or other reasons under their rules.

5.6. Bank fees, payment system fees, currency conversion or other third-party charges may apply under the terms of the bank, LiqPay or payment system. Slot does not control such fees unless they are shown as part of the Slot price.

5.7. After successful payment, the Master receives payment confirmation from LiqPay and/or a record in Slot billing history. The Operator provides settlement, fiscal or other confirmation documents in the cases and manner required by Ukrainian law.

6. Refunds and Mistaken Payments

6.1. A Master may request a refund at find.slot.ua@gmail.com. The request should include the account email or phone number, payment date, amount, LiqPay payment identifier or order_id, and the reason for the request.

6.2. A refund may be available if:

  • the payment was charged by mistake or duplicated;
  • paid access was not activated because of a Slot technical error and the Operator did not fix the issue within a reasonable time after the request;
  • a refund is required by mandatory Ukrainian law;
  • the Operator separately agrees to a refund as a support gesture.

6.3. Refunds are usually made to the same payment instrument through LiqPay. The crediting period depends on LiqPay, the issuing bank and the payment system and may usually take from 3 to 14 banking days after the refund is initiated.

6.4. If the Master Subscription was activated and used, the Operator may refuse a refund for the already provided access period, unless the law expressly requires otherwise.

6.5. A chargeback or bank dispute does not cancel the Master's obligation to provide the Operator with information needed to verify the payment. During a chargeback review, the Operator may suspend access to paid features if necessary to prevent loss or fraud.

7. Operator Rights and Obligations

7.1. The Operator shall:

  • provide access to the Platform under this Offer and the Terms of Service;
  • process payments through LiqPay without storing full card credentials;
  • keep billing history to the extent needed for contract performance, support, accounting and rights protection;
  • take reasonable technical and organizational measures to protect personal data;
  • receive requests about the Master Subscription through the contacts listed in this Offer.

7.2. The Operator may:

  • change Platform features if this does not deprive the Master of already paid core access without an equivalent replacement or refund;
  • temporarily restrict access for maintenance, security or legal compliance;
  • suspend or terminate access if this Offer, the Terms of Service, LiqPay requirements, payment system rules or the law are breached;
  • refuse to process or confirm a payment if the payment fails security checks or shows signs of fraud.

8. Master Rights and Obligations

8.1. The Master shall:

  • provide accurate registration, contact, payment and profile information;
  • pay for the Master Subscription before starting or extending paid access;
  • not share account access, payment data, confirmation codes or other authorization tools with third parties;
  • independently ensure the legality of the Master's services, professional permits, licenses, tax accounting, fiscal cash register or software cash register obligations and documents for Clients, where required;
  • not publish illegal, misleading, dangerous or payment-system-prohibited goods or services;
  • keep schedule, prices, cancellation policies and other Client-facing information up to date.

8.2. The Master may use paid features during the subscription term, contact support, receive payment information and request a refund in the cases provided by this Offer or law.

9. Bookings and Master Services

9.1. Slot helps Clients and Masters coordinate the date, time, service and contact for a booking. Slot does not guarantee a specific time slot, the result of a Master's service, the Master's qualifications, absence of contraindications or that the service will meet the Client's expectations.

9.2. All claims regarding the actual Master service, its quality, safety, performance, cancellation, refund of payment for the Master service or issuance of documents for such service are resolved between the Client and the Master. The Operator may provide communication support but does not become a party to that dispute.

9.3. If a Master provides services that require special permits, medical licenses, certification, sanitary rules or other professional requirements, the Master is solely responsible for obtaining and complying with them.

10. Liability

10.1. The Operator is responsible for providing access to the Platform under this Offer but is not responsible for acts or omissions of Masters, Clients, banks, LiqPay, payment systems, telecom operators, hosting providers or other third parties, unless the law expressly provides otherwise.

10.2. The Platform is provided "as is" and "as available". The Operator does not guarantee uninterrupted or error-free operation of the Platform but uses reasonable efforts to maintain stability, security and access restoration.

10.3. To the extent permitted by law, the Operator's liability for any claim related to the Master Subscription is limited to the amount actually paid by the Master for the relevant Master Subscription period to which the claim relates. This limitation does not apply where prohibited by mandatory law.

10.4. Nothing in this Offer limits consumer rights that cannot be limited by contract under Ukrainian law.

11. Term, Amendments and Termination

11.1. The agreement is effective from Acceptance until the parties fully perform their obligations or the User stops using the Platform, whichever occurs later.

11.2. The Operator may amend this Offer by publishing a new version on the Platform. Amendments do not reduce an already paid Master Subscription term without the Master's consent or without equivalent compensation where required by law.

11.3. If amendments materially affect paid features or payments, the Operator may ask the Master to reconfirm consent before the next payment or continued use of paid features.

11.4. The Operator may terminate or suspend the Master's access in case of a material breach of this Offer, fraud, illegal activity, payment system rule breach, chargeback abuse, security threat or a competent authority's request.

12. Governing Law and Disputes

12.1. This Offer is governed by the laws of Ukraine.

12.2. The parties seek to resolve disputes by negotiation and written request to find.slot.ua@gmail.com. The Operator reviews requests within a reasonable time, or within a special statutory period if one applies.

12.3. If a dispute is not resolved by negotiation, it shall be submitted to the competent court of Ukraine under the jurisdiction rules established by Ukrainian law.
